These Terms of Service ("Terms") form a binding agreement between you and Tez Studio ("we," "us," or "our") regarding your use of our services, including the website at getup.coach, the application at app.getup.coach, and any related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

You must be at least 18 years of age (or the legal age of majority in your jurisdiction, whichever is older) to use the Services. By using the Services, you represent and warrant that you meet this requirement.
If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.
We do not knowingly collect information from or direct our Services to children under 18. If we learn that we have collected personal information from someone under 18, we will delete it promptly.
Some features of the Services may require you to create an account. When you create an account, you agree to:
You may also register or log in using a third-party social media account (such as Google). When you do, we receive certain profile information from that provider, as described in our Privacy Policy.
You are responsible for safeguarding your account credentials. We are not liable for any loss or damage arising from your failure to comply with the above.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

Violation of any of the above may result in immediate suspension or termination of your access to the Services.
The Services allow you to input, store, and process personal content such as your name, goals, habits, daily notes, and similar information ("User Content"). You retain all rights to your User Content.
By using the Services, you grant us a limited, worldwide, royalty-free license to use, store, and process your User Content solely to provide and improve the Services. This includes transmitting relevant portions of your User Content to third-party AI service providers (such as Anthropic, ElevenLabs, and OpenAI) to generate personalized motivational content, voice audio, and avatar imagery for you.
If you create an account, your User Content is stored in our cloud infrastructure (via Supabase) to enable cross-device sync. You may delete your account at any time, which will remove your User Content from our active databases (subject to limited retention as described in our Privacy Policy).
You are solely responsible for your User Content and represent that:
The Services use AI to generate motivational messages, voice audio, and coach avatar imagery for you ("Generated Content"). Subject to your compliance with these Terms, we grant you a perpetual, non-exclusive, non-transferable, personal-use license to the Generated Content created for your account.
You may share Generated Content for personal, non-commercial purposes (such as posting to social media, saving to your personal library, or sharing with friends).

We retain the right to use anonymized, non-personally-identifiable examples of Generated Content for marketing, demonstrations, and product improvement purposes.
The Services use artificial intelligence to generate personalized motivational messages, voice audio playback, coach avatar imagery, and habit suggestions. By using these features, you understand and agree that:

The Services, including all content, features, functionality, design, code, logos, and branding, are owned by Tez Studio and protected by copyright, trademark, and other intellectual property laws.
"GetUp," "GetUp.coach," "Tez Studio," and related marks are trademarks of Tez Studio. You may not use these marks without our prior written permission.
Nothing in these Terms transfers any intellectual property rights to you, except for the limited license to use the Services as described above.
The Services offer a free tier with daily usage limits and a paid subscription tier called "GetUp Pro" or "Pro." Pro unlocks additional features including unlimited motivational message generation, voice playback, custom coach avatars, themed visuals, and other premium features as they are added.
Pro is offered at the following prices (subject to change with notice):
Prices are exclusive of any applicable taxes, which will be added at checkout if required by law.
New subscribers may be eligible for a 7-day free trial upon first signup. During the trial, you receive full access to Pro features at no charge.
You may cancel at any time during the trial to avoid being charged. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and you will be charged the applicable subscription fee.
By subscribing, you authorize us (through our payment processor, Stripe) to automatically charge your payment method on a recurring basis for the subscription fee until you cancel. Monthly subscriptions renew every month; yearly subscriptions renew every year.
Renewal occurs at the price in effect at the time of renewal. We will provide reasonable advance notice of any price changes.
You may cancel your subscription at any time by:

All payments are non-refundable. We do not offer refunds for partial periods, unused time, or change-of-mind cancellations. When you cancel, you simply stop being billed at the next renewal — your access continues through the period you have already paid for.
The 7-day free trial is provided so you can evaluate Pro at no cost before being charged.
In rare cases (such as billing errors, duplicate charges, or technical issues that prevented you from accessing the Services), we may issue refunds at our sole discretion. To request consideration, email support@tez.studio within 30 days of the charge.
Payments are processed by Stripe. We do not store full credit card numbers — Stripe handles all card data in compliance with PCI standards. Your use of Stripe's payment processing is also subject to Stripe's own terms of service and privacy policy.
You agree to provide current, complete, and accurate payment information for all subscription purchases and to promptly update such information if it changes (e.g., expired card, new address).
If a renewal payment fails, we (via Stripe) will attempt to charge your payment method again over a short retry period. If payment continues to fail, your Pro access may be suspended until the issue is resolved. We may notify you by email if there's a payment issue.
The Services may impose daily usage limits to ensure fair use and protect the platform from abuse. Current limits are:
We reserve the right to adjust these limits with notice. We may rate-limit or suspend accounts that exceed reasonable use patterns or appear to be automated/abusive.
We may modify pricing, features, or the subscription tiers offered. We will provide at least 30 days' notice of any material adverse changes to existing subscribers. Your continued subscription after such notice constitutes acceptance of the changes. If you do not accept, you may cancel before the changes take effect.
You may stop using the Services at any time. To delete your account, sign in and use the account deletion option in your profile, or contact us at hello@tez.studio.
If you have an active Pro subscription, deleting your account does not automatically cancel your subscription's auto-renewal. Cancel your subscription separately via "Manage subscription" in your profile, or contact support@tez.studio. See Section 8 (Subscriptions and Payments) for full details on cancellation.
We will not terminate your access to the Services without cause. However, we reserve the right to suspend or terminate your access if you:
Where reasonable, we will provide notice and an opportunity to remedy the violation before terminating your access.
Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnification, and limitation of liability) will survive.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that:
You use the Services at your own risk. Any reliance you place on AI-generated motivational content is at your own discretion.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TEZ STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
The limitations in this section apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Tez Studio and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
Before initiating any formal legal proceedings, you and Tez Studio agree to attempt to resolve any dispute informally for at least 30 days. To begin informal negotiations, you must send written notice to hello@tez.studio describing the dispute and proposed resolution.
If informal negotiations fail to resolve the dispute, you and Tez Studio agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.
The arbitration will be administered by a recognized arbitration provider in Virginia, United States, in accordance with their applicable rules. The arbitration will be conducted in English.
Each party will bear its own arbitration costs. However, if the arbitration fees are deemed excessive or would prevent you from pursuing a legitimate claim, we will pay your share of the arbitration fees.
You and Tez Studio agree that any arbitration or legal proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
You agree that any cause of action arising out of or related to the Services or these Terms must be filed within one (1) year after the cause of action arose. Otherwise, the cause of action is permanently barred.
Notwithstanding the foregoing, either party may seek injunctive relief in court to protect intellectual property rights or confidential information.
These Terms and any disputes arising out of or related to them or the Services are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of laws principles.
If a dispute proceeds in court (rather than arbitration), you and Tez Studio agree that the exclusive jurisdiction and venue will be the state and federal courts located in Virginia, United States.
We may update these Terms from time to time. When we make material changes, we will:
Your continued use of the Services after the effective date of any updates constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tez Studio regarding the Services.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, epidemics, pandemics, government actions, internet outages, or third-party service failures.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
The Services rely on third-party providers to function, including:
Your use of these third-party services is subject to their own terms and policies. We are not responsible for the availability or accuracy of third-party services.
Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Tez Studio.
